Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Canfield Labs, LLC, a Delaware limited liability company ("Canfield Labs," "Shpiel," "we," "us," or "our"), governing your access to and use of the Shpiel website and application at shpiel.ai and all related features (the "Service"). By accessing or using the Service, creating an account, or making a purchase, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract, to create an account or purchase the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. A minor may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms.

2. The Service

Shpiel is an AI-assisted tool that helps you draft Jewish lifecycle speeches, such as bar and bat mitzvah divrei Torah, wedding toasts and vows, baby-naming and brit milah remarks, Shabbat and holiday words, and eulogies and yahrzeit remembrances. The Service uses artificial-intelligence models and public Jewish text and calendar sources to generate drafts based on the information you provide. We may modify, add, or discontinue features at any time.

3. Your account

Shpiel uses passwordless sign-in (an emailed link or one-time code). You are responsible for maintaining access to the email address associated with your account and for all activity that occurs under your account. Notify us promptly at team@shpiel.ai if you believe your account has been accessed without authorization. You agree to provide accurate information and to keep it current.

5. Your content and ownership

Your inputs. "Your Content" means the information you submit, such as names, dates, stories, and notes. You retain your rights in Your Content. You represent that you have the necessary rights to provide it and that doing so does not violate any law or the rights of any third party.

Generated speeches. As between you and us, you own the speeches you generate and edit using the Service, and you may use them for your personal, non-commercial purposes. You are responsible for reviewing every speech before you use it.

License to operate. You grant Canfield Labs a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content and generated speeches solely to provide, secure, and improve the Service, including sending inputs to our AI and source providers as needed to produce your speech. We do not use the personal content of your speeches to train our own models.

6. AI-generated content and no reliance

Please read this carefully. Speeches are generated by artificial intelligence and may contain errors, inaccuracies, or content that is not appropriate for your specific situation, including in religious, textual, historical, or Hebrew-language details. You must review, verify, and edit every speech before relying on or delivering it.

Shpiel is a writing aid, not a source of religious, legal, or professional advice, and it is not a substitute for a rabbi, cantor, or other clergy member. For sacred or sensitive occasions, we strongly encourage you to have a trusted, knowledgeable person review your speech. We do not warrant that any output is accurate, complete, halachically correct, appropriate for your denomination, or fit for any particular purpose. You are solely responsible for your use of any speech you create.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Service or others.

8. Our intellectual property

The Service, including its software, design, text, graphics, logos, and the "Shpiel" name and brand, is owned by Canfield Labs or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

9. Third-party services

The Service relies on and links to third-party services, including our AI provider, payment processor, hosting and database providers, and authoritative Jewish text and calendar reference services. We are not responsible for third-party services, and your use of them may be subject to their own terms and policies.

10. Disclaimers

The service and all content and outputs are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free, or that any speech or source will be accurate, complete, or suitable for your purpose.

11. Limitation of liability

To the maximum extent permitted by law, Canfield Labs and its owners, employees, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or reputation, arising out of or relating to the service or these terms, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the service or these terms will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Canfield Labs and its owners, employees, and providers from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your use of the Service, your speeches, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or others. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at team@shpiel.ai. We will try to resolve it within 60 days.

Binding arbitration. If we cannot resolve a dispute informally, you and Canfield Labs agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by a recognized arbitration provider, on an individual basis, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will take place in Delaware or, at your election, by remote means.

Class-action and jury waiver. You and Canfield Labs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You and Canfield Labs waive any right to a jury trial.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing team@shpiel.ai with your name and a statement that you opt out of arbitration.

15. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

16. General

These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided by email or through the Service.
